One Person Company comes across as a feasible option for entrepreneurs with small businesses. Unlike sole proprietorship the concept of One Person Company (OPC) protects its owner from unlimited liability. It was introduced in the Companies Act, 2013. Earlier, the process of registration was long and complicated but it has since been streamlined. In a previous article we covered the documents required for LLP registration, in this article we cover the list of documents required for OPC registration.
Since OPC is a sub category of Private Limited Company, the Name of OPC shall end with (OPC) Private Limited. The documents required for OPC registration fall under 3 major heads.
List of documents required for OPC Registration
A. Shareholder/Director Details
1. PAN Card
2.Identity proof of the director/shareholder

- Voter Identity Card or Electoral Photo Identity Card
3. Address proof
- Telephone bill
- Postpaid mobile bill
- Electricity bill
- Water bill

- Bank passbook with latest transaction
Note that all of the above documents must not be older than 2 months and they must be in the name of the applicant. Documents must be in English or translated into English
Both the identity proof as well as the address proof must be self-attested by the applicant.

B. Nominee Details
1. PAN card

- Passport

Note that it is compulsory to nominate a person who would look after or run the company in case of a mishap or if the current director of the company chooses to retire. The nominee and Director/member of OPC must have been residing in India for a period of more than 182 days in the previous year at the time of incorporation of the company.
C. Registered office address proof
The above documents must be in the name of the owner of the premises and signed by the same. Note that this is difference from the address proof above since this proof serves to verify the office premises and not the personal address of the owner.
Any person can be a director in only one OPC and he cannot create multiple OPCs. Also, a person can be nominee in only one OPC and he cannot be a nominee or director in multiple OPCs.
Also a person cannot be director in an OPC and Nominee in another OPC at the same time.
However, both the Director of OPC and the Nominee can be a Director or a shareholder in a Public/Private Limited Companies.
